These terms govern your use of bluedot-insight.com and anything you buy through it. By using this site or buying a licence you agree to them. They are a contract between you and Bluedot Insight LLC (“BlueDot”, “we”, “us”), a Nevada limited liability company at 10350 N McCarran Blvd, Suite 1157, Reno, NV 89503, United States.
We sell to businesses. If you are buying on behalf of an organisation you confirm you are authorised to bind it, and “you” means that organisation.
1. Definitions
Software means the Quantum BNG platform and any component we supply, including updates we make available to you. BNG means one instance of the Software running on one machine. Licence File means the cryptographically signed .lic file that enables capacity on a BNG. Capacity Licence means a purchased entitlement to a session ceiling on one BNG. Maintenance Credits means prepaid support entitlements bought in blocks.
2. What a Capacity Licence gives you
A Capacity Licence is a perpetual, non-exclusive, non-sublicensable right to run the Software on one BNG up to the session ceiling you bought, for your own internal business purposes. You own no part of the Software; you are licensed to use it.
A Licence File is bound to one machine. It carries a hardware fingerprint read from that machine’s TPM and will not enable capacity on any other machine. The Licence File is verified by the Software offline, against a key embedded in the Software itself; it does not contact us, and it does not require your BNG to have internet access.
Licence Files are issued with a long validity period and a short grace period after expiry. The validity period exists so that a file is not indefinitely replayable; it is not a subscription, and a perpetual Capacity Licence does not stop working at the end of a billing period because there is no billing period.
2.1 The free unlock
Each BNG may claim one free 5,000-session unlock. It is granted per machine, it stays with the machine it was claimed on, and it cannot be transferred in any circumstances.
2.2 Raising a ceiling
Buying a higher ceiling for a BNG that already holds a Capacity Licence replaces the lower licence rather than adding to it: a BNG carries one capacity entitlement at a time, and the replaced licence is retired when the new one is activated. Each tier is sold at its listed price. We do not credit what you have already spent on a machine against a higher tier.
2.3 Moving a licence to different hardware
Because a Licence File is bound to hardware, moving to a different machine means issuing a new file. We will do that once per licence, within 30 days of purchase. The window exists so that you can install the Software and confirm your chosen server performs as you need it to.
We may require you to deactivate the licence on the original machine and to supply evidence from that machine’s TPM confirming the licence has been removed, before we issue a replacement. Outside the 30-day window, and for the free unlock, licences are not transferable. We may agree to a move outside these terms at our discretion; we are not obliged to.
3. Maintenance Credits
Maintenance Credits are prepaid and held against your company, not against a machine or a person: anyone with a seat on your account may spend them, on any of your BNGs. One credit covers one issue from first report to resolution, however long it runs and however many of your people join the thread.
Credits expire 12 months from the date of purchase. Where you hold several blocks we spend the oldest first, so that the only credit which can lapse is credit you did not use. Credits have no cash value and are not refundable or exchangeable.
4. What you must not do
You must not: copy or redistribute the Software except as these terms allow; rent, lease, resell or provide it as a service to a third party; reverse engineer, decompile or disassemble it, except to the extent that applicable law expressly permits despite this restriction; remove or alter any notice in it; or attempt to defeat, forge, or work around the licensing mechanism, including by altering a Licence File, generating one, or running capacity you have not bought.
You are responsible for keeping your account credentials secure and for what is done with your account.
5. Prices, tax and payment
Purchases are processed by FastSpring, which is the merchant of record. FastSpring takes your payment, issues your receipt and invoice, and is responsible for charging and remitting sales tax, VAT and GST. Your statement and your receipt will show FastSpring rather than BlueDot. Your contract for the licence itself is with us, and these terms govern it.
Prices shown on this site exclude tax. Any sales tax, VAT or GST is calculated at the payment step from your billing details and added to the price. Businesses registered for VAT can enter a VAT number at the payment step, and in most countries no VAT is then charged.
We quote in US dollars. Where you are charged in another currency, the conversion is performed by the payment processor at its own rate.
6. Delivery
We issue a Licence File after your payment has cleared, not when an order is placed. Licences are delivered electronically, to the email address on your account and through the customer portal. There is nothing physical to ship.
If you buy before registering the machine the licence is for, you will receive a registration code instead, which you exchange for a Licence File once you have added the BNG and its hardware fingerprint to your account.
7. Refunds
A Licence File cannot be recalled once issued: it is verified offline by the Software and we have no means of revoking it remotely. For that reason we do not offer refunds on issued licences as a matter of course.
If something has gone wrong — you were charged twice, you bought the wrong tier, or the Software does not do what we said it does — contact us and we will put it right. The free 5,000-session unlock exists so that you can evaluate the Software on your own hardware before buying anything, and we would rather you used it than bought on trust. Where the law gives you a right to cancel or a refund, nothing here limits it, and the payment processor may apply its own consumer-protection rules independently of this clause.
8. Export control and sanctions
The Software is subject to United States export control law. You agree that you will not export, re-export, supply or make the Software available, directly or indirectly, to any country, entity or person where doing so would breach applicable export control or sanctions law, including the sanctions programmes administered by the US Office of Foreign Assets Control. You confirm you are not located in, organised under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited.
You are responsible for complying with the law that applies to how you use the Software, including any law governing the interception, retention or processing of subscriber traffic in the jurisdictions where you operate.
9. Confidentiality
Information you give us about your deployment — hostnames, hardware fingerprints, capacities and the contents of support tickets — is confidential. We will not disclose it other than as described in our Privacy Policy, and we will not name you as a customer in public material without your agreement.
10. Warranties and what we do not promise
We warrant that the Software will perform substantially as our documentation describes. If it does not, tell us and we will correct it or, if we cannot, refund what you paid for the affected licence. That is your remedy for a defect.
Beyond that warranty, and to the fullest extent the law allows, the Software and this site are provided “as is” without further warranty of any kind, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. Performance figures we publish are measurements taken on specified hardware under specified conditions and are not a promise of what you will achieve on yours. Throughput and session capacity depend on your hardware, your configuration and your traffic.
11. Limitation of liability
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special or consequential loss, or for lost profits, lost revenue or lost or corrupted data, however caused. Our total liability arising out of or relating to these terms will not exceed the amount you paid us in the 12 months before the claim arose.
Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.
12. Suspension and termination
We may suspend your portal access if you breach these terms, and we may terminate for a material breach you do not remedy within 30 days of us telling you about it. A perpetual Capacity Licence survives termination of your portal access, except where it was obtained or used in breach of clause 4 or clause 8.
13. Changes
We may change these terms. The current version is always on this page with the date it took effect. A change does not alter the terms of a licence you have already bought.
14. Governing law
These terms are governed by the law of the State of Nevada, United States, without regard to its conflict-of-laws rules, and the state and federal courts sitting in Washoe County, Nevada have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
